一、委托事項

（1）甲方與W電訊有限公司之間訴訟案的二審或者申訴和判決后的執(zhí)行；
A. The second instance, or appeal of the litigation between Party A and W company.
（2）所有與（1）條相關(guān)的訴訟、仲裁、上訴、執(zhí)行程序直到終審和判決執(zhí)行，包括判決金額的取得。
B. Other litigation, arbitration, appeals, enforcements and/or all proceedins relevant to the actions listed in Exhibit A until final judgment and enforcement of judgement, including collection of judgment amount is finalized.

C.Within reason, the final decision regarding strategy of litigation and/or arbitration, as well as any and all facts of the litigation, are at the full discretion of Party A. Pursuant to the terms of this Agreement, Party B shall follow the
instructions of Party A unless these instructions violate the law in the People’s Republic of China.
二、代理費用及支付方式
2. Payment of Fees
2.1代理費用。乙方根據(jù)本協(xié)議完成全部代理工作的代理費用由如下兩部分組成： 固定費用：人民幣15萬元整（含稅）,作為乙方律師工作成本費用。在本協(xié)議簽訂后5日內(nèi)一次性電匯至乙方指定帳戶；乙方出具發(fā)票。另行提成費用：乙方將根據(jù)本協(xié)議從本案最終執(zhí)行回來的全部凈收益中提取40%。凈收益的含義如下：來自本案的全部金額，減去已經(jīng)支付的案件費用。甲方扣除費用指的是從法院執(zhí)行回款中扣除本案一審和二審的訴訟費以及法院執(zhí)行費。
如果執(zhí)行回的凈收益少于已經(jīng)支付的費用，雙方按照如下分配：每一方都按照收益的比例分配。比如,訴請金額為人民幣100元，收益為10元，即收益為訴請的10%。乙方將得到收益金額的40%。
2.1 Party B’s fees for all services under this Agreement shall be paid in two separate installments:
A. Fixed fee: RMB 150,000(before tax) to be paid in one installment within 5 days of the signing of this Agreement by wire as designated by Party B and upon receipt from Party B; The fixed fee is the work cost of attorney for fulfilling the commitment.
B. Party B shall be paid 40% of all Net Proceeds collected from enforcement of judgments resulting from cases under this Agreement. Net Proceeds is defined as follows:Total amount collected amount in case, less case filing fee of court’s first and second instances or arbitration.
Where the collected Net Proceeds are less than the Paid Amounts, the parties shall apportion the Net Proceeds as follows: Each Party shall be paid the pro rata share of the collected amounts vs. the collected amounts. Thus, if the claimed amount is $100 rmb, and the collected amount was $10 rmb, this represents 10% of the claimed amount. Thus Party B shall receive 40% of the collected amount, less 10% of the collected amount.

三、甲方權(quán)利和義務(wù) Rights and obligations of Party A
3.1如果發(fā)生如下情況:實際情況不允許履行、公司終止，與乙方發(fā)生無法協(xié)調(diào)的分歧，甲方可以根據(jù)自己的決定終止本協(xié)議，應(yīng)在5個工作日內(nèi)書面通知乙方。已付給乙方的費用不再要求退還。
3.1 Party A, may, at its discretion, terminate this Agreement, or any portion thereof for reasons of impracticality, company wind down, or irreconcilable differences with Party B, upon 5 business days written notice to Party B; but don’t require Party B to hand back the payment paid to Party B .
3.2甲方在行使終止權(quán)利時，如果乙方代理的具體案件已經(jīng)進(jìn)入執(zhí)行階段，且有充分證據(jù)表明本案判決或者仲裁的執(zhí)行收益可以成功執(zhí)行的，除非乙方書面同意，甲方不能終止該案件的委托。
3.2 While Party A is executing his right of termination, if a special commitment is in enforcement stage and there are plenty evidences to indicate that the judgment or
the arbitration award of the case will be successfully executed, Party A can not terminate this special commitment without Party B’s written consent.
3.3 甲方將全力在盡早的時間內(nèi)向乙方提供案件文件。
3.3 Party A shall use all reasonable efforts to provide Pary B with the case files at the earliest practicable time;
3.4 為了使乙方按照本協(xié)議履行職責(zé),甲方將全力提供乙方所要求的文件和其他支持性文件,并指定專人作為甲方與乙方的聯(lián)系人，給予相應(yīng)的聯(lián)系方式。
3.4 Party A shall make every reasonable effort to provide Party B with requested documentation or other support documents in order for Party B to discharge its duties under this Agreement; A person specially will be assigned by Party A for the linkman with Party B, and give party B relevant contact manner.
四、乙方權(quán)利 Rights of Party B
4.1 乙方有按照法律和合同的約定獨立完成約定工作的權(quán)利,不受甲方不適當(dāng)?shù)母深A(yù)。
4.1 Party B is entitled to perform the stipulated work according to laws and regulations as well as this Agreement without undue interference from Party A;.
4.2 乙方在按約定完成工作后，有獲得約定費用的權(quán)利。

This Contract is made and entered into through friendly negotiation by and between China ____________________ (hereinafter referred to as “Client”), as one party, and____________________ (hereinafter referred to as “Consultant”), as the other party, concerning the technical consultancy service of__________, under the following terms and conditions:
Article 1 Contents of Technical Consultancy Service
1.1 Whereas Client desires to obtain the technical consultancy service from Consultant and Consultant has agreed to perform such services.
1.2 The Scope of Technical Services is defined in Appendix 1.
1.3 The Time Schedule for the Services is shown in Appendix 2.
1.4 The Manning Schedule is described in Appendix 3.
1.5 Consultant shall complete the Services within __________months from the Effective Date of this Contract and furnish the final technical service report, including drawings, designing documents, all kinds of standards and photos, within ____ months. Consultant shall keep aware, free of charge, Client of the latest development of similar projects and any progress made in order to improve the designing of the project.
Article 2 Both Parties' Responsibility and Liability
2.1 Client shall furnish to Consultant the pertinent data, technical service reports, maps and information available to him and shall give Consultant the reasonable assistance necessary for carrying out of his duties. Particularly Client shall nominate a general representative who shall be available at reasonable time.
2.2 Client shall assist Consultant with the responsible authorities for obtaining visas, work permits, and other documents required by Consultant to enter the country and to have access to the Site of the Project. The above expenses shall be borne by Consultant.
2.3 Consultant shall furnish a sufficient number of competent personnel to perform its obligation hereunder, in addition to those personnel specifically listed in Appendix 3. All personnel employed by Consultant in carrying out the work shall be exclusively Consultant's responsibility, and Consultant shall hold Client harmless from any claims of any kind by Consultant's personnel arising out of any acts by Consultant or its personnel in connection with the work performed hereunder.
2.4 Consultant shall provide Client with all the technical service reports and relevant documentation within the Scope of Technical Services and within the Time Schedule for the Services.
2.5 Consultant shall assist Client‘s personnel in his country in obtaining visas and in arranging lodgings. Hotel and boarding expenses shall be borne by Client. Consultant shall supply Client’s personnel with office space and necessary facilities as well as transportation.
2.6 Consultant shall be responsible for and shall indemnify Client and his employee in respect of injury to person or damage to property occurring in connection with the services, to the extent that such damage or injury directly results from negligence of Consultant's personnel while engaged in activities under this Contract. Consultant shall be liable only to the work under this Contract.
2.7 Any and all liability of Consultant with respect to this Contract shall be limited to the Total Contract Price received by Consultant for his profession services and shall terminate upon expiration of the warranty period set forth in Article 7.3.
Article 3 Price and Payment

3.2 The total contract price shall include all the service and technology provided by Consultant. The total contract price shall be firm and fixed and shall not fluctuate with any inflation. The total contract price shall include all charges and expenses incurred by Consultant in performing his obligations both in his own country and in the People's Republic of China and includes the expenses incurred in sending the Technical Documentation to Client's office by all kinds of forms.
In the event of Force Majeure as defined in the Contract, the total contract price shall be readjusted through friendly negotiations between the parties. If Client requires services not contemplated in the Scope of Services, the parties shall friendly discuss an amendment to the total contract price. Any such amendment shall be in writing countersigned by both parties. This document shall then form integral part of the Contract.
3.3 All payments to be made by Client to Consultant under the present Contract shall be made by telegraphic transfer. In case of any payment by Client, the payment shall be effected through __________ in China to _________ for the account of Consultant.
In consideration for the services provided by Consultant hereunder, Client shall effect the payment to Consultant in accordance with the following manner and percentage:

3.4 In case Consultant is liable for paying to Client the penalty under the Contract, Client shall have the right to deduct it from any said payment.
3.5 The banking charges of both parties incurred in China for the execution of the Contract shall be borne by Client and those incurred outside China shall be borne by Consultant.
Article 4 Delivery Schedule
4.1 The deadline for the arrival of the Technical service reports CIF _____ is:
A. Technical service report on Item 1: _________months after effectiveness of the Contract;
B. Technical service report on Item 2: _________months after effectiveness of the Contract;
C. Technical service report on Item 3: _________months after effectiveness of the Contract; and
D. Technical service report on Item 4: ________months after effectiveness of the Contract.
4.2 Consultant shall inform Client by fax when the Technical service reports are airmailed to Client indicating the date and number of airway bill. Client shall inform Consultant when the Technical service reports have been received.
4.3 Should any document be missing or damaged during the transport, Consultant shall be notified accordingly and within two (2) weeks the missing or damaged document shall be replaced by Consultant free of charge.
Article 5 Confidentiality
5.1 All data assembled, developed, compiled, reproduced, studied, and prepared in connection with the work done hereunder and furnished to Consultant by Client shall be considered confidential and shall not be divulged to any person, firm or corporation other than Client or its designated representatives. This Clause shall remain binding on Consultant notwithstanding the termination of the Contract for any reason.
5.2 Within the validity period of Contract, both parties shall take proper measures to keep the materials or information strictly confidential. The other party shall not disclose or divulge to any third party without prior written consent of one party.
5.3 Either party shall be obliged to keep confidential any secret information of the other party, which either party and its personnel may obtain or be accessible to in the course of the performance of Contract. Either party shall not make use of or disclose such secret information obtained from the other party without prior written permission issued by the other party.
Article 6 Taxes and Duties
6.1 All taxes and duties in connection with and in the execution of Contract levied by the Chinese government on Client in accordance with the tax laws of PRC shall be borne by Client.
6.2 All taxes and duties levied by the Chinese government on Consultant, in connection with and in the execution of Contract, according to Chinese tax laws and the agreement between the government of PRC and the government of Consultant's country for the reciprocal avoidance of double taxation and the prevention of fiscal evasion with respect to taxes on income shall be borne by Consultant.
Client is legally obliged to withhold, as a withholding agent, the amount of taxes pro rata each taxable payment under Contract and pay them to the relevant Chinese tax authorities. After receiving the tax receipts issued by the relevant Chinese tax authorities for the aforesaid withholding taxes, Client shall forward them to Consultant without undue delay.
6.3 All taxes and duties arising outside PRC in connection with and in the execution of Contract shall be borne by Consultant.
Article 7 Warranty
7.1 Consultant warrants that he has the experience and capability to efficiently and expeditiously perform the services in a satisfactory manner and that the services performed by him under this Contract shall be performed by competent personnel in accordance with accepted standards.
7.2 In the event of a failure of Consultant to provide Client with satisfactory services within the scope of work described in Appendix 1 at any time for any reason within the control of the Consultant, Client may notify Consultant of such dissatisfaction. Consultant shall be afforded a period of _____ days to correct or remedy the matter. Should Consultant within the time afforded by Client fail to correct or remedy the matter to the satisfaction of Client, all charges shall cease forthwith until such time as Consultant is able to provide satisfactory services in accordance with the Scope of work described in Appendix 1.
7.3 The Consultant‘s guarantee liability shall expire _____ months after its consultancy service is finally inspected and accepted by Client, or after final payment is made.
Article 8 Ownership of Technical Service Reports
8.1 Final version of the technical service report submitted to Client and all relevant data such as maps, plans and supporting material compiled in performing the Scope of Services, shall be the property of Client. Such materials shall be sorted and indexed by Consultant prior to transmission to Client.
8.2 Consultant shall be permitted to retain copies thereof, provided however that such materials, including the material furnished by Client as stated in Article 5 of this Contract, shall not be used by Consultant for purposes not related with this Project without the prior written approval of Client.
Article 9 Assignment
9.1 Neither Client nor Consultant shall assign or sublet their rights or obligations hereunder without the prior written consent of the other party.
Article 10 Termination
10.1 If, due to the responsibility of Consultant, the technical service reports have not been delivered at dates according to the delivery schedules as stipulated in Article 4 of the Contract, Consultant shall be obliged to pay to Client penalty for such delay in delivery at the following rates:
A. ______ percent (____%) of the total contract price per week for the first four weeks;
B. _____ percent (____%) of the total contract price per week from the fifth week to the eighth week;
C. ______ percent (____%) of the total contract price per week from the ninth week of delay.
Odd days less than one (1) week shall be counted as one (1) week for calculating the liquidated damage.
10.2 The total liquidated damage for late delivery shall not exceed ______ percent (____%) of the total contract price. Payment of the liquidated damage for late delivery shall not release consultant from its obligation to deliver technical service reports.
10.3 Client may, without prejudice to any other remedy for Consultant's following breach of Contract, terminate Contract in whole or in part by a written notice of default send to Consultant, if Consultant
A. Fails to deliver any or all of technical service reports within______(____) days after the scheduled delivery date as specified in Article 4; or
B. Fails to make the technical service reports meet the minimum level of Acceptance Standards as specified in Appendix 1.
Consultant shall refund to Client all the payments effected by Client to Consultant plus an interest at the rate of______ percent (____%) per annum in case of such a termination.
10.4 Either party may, without prejudice to any other remedy, terminate Contract in whole or in part by a written notice send to the other party, if the other party.
A. Fails to perform its confidentiality obligation under Contract; or
B. Fails to perform any other obligations under Contract except minor parts thereof, and does not remedy for its failure within a period of______ (____) days upon receipt of the written notice or a period agreed upon between the parties;
C. Becomes bankrupt or insolvent; or
D. Affected by any event of Force Majeure for more than ______ days.
Article 11 Force Majeure
11.1 Should either party be prevented from performing any of its obligations under Contract due to event of Force Majeure, such as war, serious fire, typhoon, earthquake, flood and any other events which could not be expected, avoided and overcome, the affected party shall notify the other party of its occurrence by fax and send by registered airmail a certificate issued by the competent authorities or agency within fourteen (14) days following its occurrence.
11.2 The affected party shall not be liable for any delay or failure in performing any or all of its obligations due to the event of Force Majeure. However, the affected party shall inform the other party by fax the termination or elimination of the event of Force Majeure without delay.
11.3 Both parties shall proceed with their obligations immediately after the cease of the event of Force Majeure or removal of the effects. The validity period of Contract and/or the scheduled period for relative execution of Contract shall be extended correspondingly.
Article 12 Arbitration
12.1 Any dispute arising from or in connection with this Contract shall be submitted to China International Economic and Trade Arbitration Commission,Shenzhen Sub-commission for arbitration in accordance with the Commission's arbitration rules in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties and the applicable law is the material law of P.R.C.
12.2 Notwithstanding any reference to arbitration, both Parties shall continue to perform their respective obligations under the Contract unless otherwise agreed.
Article 13 Language and Standards
13.1 Correspondence except this Contract between Client and Consultant, data and documents made available by Client to Consultant and the technical service reports and drawings prepared by Consultant shall be in the English language.
13.2 Measures shall be written in the metric system.
Article 14 Governing Law
14.1 The construction, validity, and performance of this Contract shall be governed by the laws of the People's Republic of China.
Article 15 Effectiveness of the Contract and Miscellaneous
15.1 Both parties shall make effort to obtain the approval from the respective authorities, if necessary, within thirty (30) days after Contract is signed by the authorized representatives of the two parties. Either Party shall notify in writing the other party of the approval date. The later date of approval shall be taken as the Date of Effectiveness of Contract.
15.2 Contract shall be valid and remain in force for_______(____) years from the Date of Effectiveness.
15.3 The outstanding credit and debt between the parties under Contract shall not be affected upon the termination or expiration of Contract.
15.4 Appendices hereof shall be integral parts of Contract and have the same legal force as the text of Contract itself. The text of Contract shall prevail in case of any discrepancies between the text of Contract and Appendices.
15.5 All amendments, supplements, subtractions, or alterations to Contract shall be made in written form and become valid upon the signature of the authorized representatives of both parties. The valid amendments, supplements, subtractions, or alterations shall from an integral part of Contract and shall have the same legal force as the text of Contract.
15.6 All communications between the parties shall be in English in written form during implementation of Contract. Faxes concerning important matters shall be confirmed timely by registered or express mails.
15.7 The Contract is made in two counterparts each in Chinese and English, each of which shall deemed equally authentic. The Contract is in four (4) originals, two (2) for the Buyer and two (2) for the Seller.

Article 5 Area confirmation& difference treatment
According to the valuation mode which interested parties choosed, this article
stipulates the area confirmation&difference treatment according to [building
area][usable area]( hereinafter called area for short).
This article does not apply to the interested parties which charge the apartment
by set.
The property registration area will be subject to the surveying and drawing
report issued by qualified mapping unit designated by residential
administration dept.
For any differences in contracted area& registration area, the registration area
will be taken as the standard.
After the apartment is transferred to the buyer, for any differences in contracted
area& registration area, which was not stipulated in the contract, both parties
will agree to manage according to the following principle: charge as per actual
area, Return the overcharge and demand payment of the shortage on the
prepaid capital.
1.if the absolute value difference is within 3%( include 3%), the charge will be
according to actual amount.
1.if the absolute value difference is exceeds 3%( include 3%), the buyer has
rights to cancel the order.
For the buyer who cancel the order, the seller must return the money to buyer
within 30days after buyer make the order cancel application, and pay the
For the buyer who will not cancel the order, if the registration areas is within
3%(including 3%) bigger than contracted area, the exceeded amount shoud be

4. this commercial residential building obtained the approval documents of commercial residential handover for usage.
But in case of the following exceptional reasons, except for both parties agree the termination or alternation of contract, the seller can prolong the deadline as per actual fact.
1. encountered with majeure, and seller informed the buyer within 30 days after the majeure occurs;
2. the seller caused the project cannot be finished on time because of non-controllable reasons.
3. If the delay is because of the above cases, this article is also applicable.
Article9 responsibility of delay in handover apartment
Except for the special cases stipulated in article8, if the seller cannot handover the apartment to buyer in the stipulated schedule in this contract, the buyer should be treated in the following 1st&2nd mode:
1. According to the overdue time, the seller should be treated separately( not
be accumulated)
1) For overdue date less days, from the 2nd day of deadline

五、押金
5. Deposit

六、甲方義務(wù)
6. Obligations of Party A
1. 甲方須按時將房屋及附屬設(shè)施（詳見附件）交付乙方使用。
1）
Party A will provide the premises and attached facilities （see the appendix of furniture listfor detail） on schedule to Party B for using.
2. 房屋設(shè)施如因質(zhì)量原因、自然損耗、不可抗力或意外事件而受到損壞，甲方有修繕并承擔(dān)相關(guān)費用的責(zé)任。如甲方未在兩周內(nèi)修復(fù)該損壞物，以致乙方無法正常使用房屋設(shè)施，乙方有權(quán)終止該合約，并要求退還押金。

In case the premise and attached facilities are damaged by quality problems, naturaldamages or accidents, Party A will be responsible to repair and pay the relevant expenses. IfParty A can‘t repair the damaged facilities in two weeks so that Party B can’t use the facilitiesnormally, Party B has the right to terminate the contract and Party A must return the deposit.

七、乙方義務(wù)
7. Obligations of Party B
1. 乙方應(yīng)按合同的規(guī)定按時支付租金及押金。
1）Party B will pay the rental and the deposit on time.
2. 乙方經(jīng)甲方同意，可在房屋內(nèi)添置設(shè)備。租賃期滿后，乙方將添置的設(shè)備搬走，并保證不影響房屋的完好及正常使用。

Party B may add new facilities with Party A‘s approval. When this contract expires, Party Bmay take away the added facilities without changing the good conditions of the premises fornormal use.
3. 未經(jīng)甲方同意，乙方不得將承租的房屋轉(zhuǎn)租或分租，并愛護(hù)使用該房屋如因乙方過失或過錯致使房屋及設(shè)施受損，乙方應(yīng)承擔(dān)賠償責(zé)任。

Party B will not transfer the lease of the premises or sublet it without Party A‘s approvaland should take good care of the premises. Otherwise, Party B will be responsible tocompensate any damages of the premises and attached facilities caused by its fault andnegligence.
4. 乙方應(yīng)按本合同規(guī)定合法使用該房屋，不得擅自改變使用性質(zhì)。乙方不得在該房屋內(nèi)存放危險物品。否則，如該房屋及附屬設(shè)施因此受損，乙方應(yīng)承擔(dān)全部責(zé)任。

八、合同終止及解除的規(guī)定
8. Termination and dissolution of the contract
1. 乙方在租賃期滿后如需續(xù)租，應(yīng)提前一個月通知甲方，由雙方另行協(xié)商續(xù)租事宜。在同等條件下乙方享有優(yōu)先續(xù)租權(quán)。

四、檢驗 Inspection

六、驗收標(biāo)準(zhǔn)：The Standard for checking and acceptance:
6.1 全水分(Total Moisture)
若俄羅斯SUCOFINDO(SGS)所出具的商檢報告中全水分超過合約值，買方有權(quán)從已交付的煤炭中按超出水分百分比扣除煤量，若全水分超過22%，買方有權(quán)拒收，扣煤量計算如下(每噸單位以FOB價計算)：
If the actual Total Moisture percentage of the shipment of the Coal as the Certificate of Analysis issued by Sucofindo (Russia) is higher than standard specification, if the actual Total Moisture is higher than 22.0%, then the Buyer can refuse to accept the steam coal; then the actual weight of the Coal shall be adjusted by the following formula (the tonnage price base on FOB price)：
6.2 灰分 (ASH Content)
若實際灰分超過合同標(biāo)準(zhǔn)值時，每超過1%，則按比例每噸扣除USD$0.30 (計算公式如下)：
If the actual ASH Content is higher than standard specification, then a penalty of each 1% faction pro rata will be USD$0.30 per metric ton.
6.3 全硫 (Total Sulfur)
若實際全硫超過合同標(biāo)準(zhǔn)值時，每超過0.1%，則按比例每噸扣除USD$0.30;若實際全硫超過1.1%，買方有權(quán)拒收，計算公式如下：
If the actual Total Sulfur is higher than standard specification, then a penalty of each 0.1% fraction pro rata will be USD$0.30 per metric ton, if the actual total sulfur is higher than 1.1% , then the Buyer can refuse to accept the steam coal.
6.4 揮發(fā)分 (Volatile Matter)
若實際揮發(fā)分低于合約標(biāo)準(zhǔn)值，每低于1%，則按比例每噸扣除USD$0.20 (計算公式如下)：
If the actual Volatile Matter is lower than standard specification, then a penalty of each 1% fraction pro rata will be USD$0.20 per metric ton.
6.5 灰熔點溫度ASH Fusion temperature T1
若灰熔點之變形溫勿低于合約值，則每低100℃，買分有權(quán)從應(yīng)付的貨款中每噸扣除USD$0.20，計算公式如下：
If the actual ASH Fusion temperature TI is lower than standard specification, then a penalty of each low 100℃ will be USD$0.20 per metric ton.
6.6 熱值 Gross Calorific Value
(1) 若高位發(fā)熱量(收到基，ADB)低于5450卡，每低于100大卡單價扣減0.6每元;若高位發(fā)熱量(收到基，ADB)超過5450大卡，每增加100大卡，單價增加0.50美元，6000大卡/kg封頂。
In case of Gross Calorific Value (ADB) less than 5450 kcal, the unit price should be deducted USD$0.60 for every 100 kcal reduction. In case of Gross Calorific Value (ADB) more than 5450 kcal, the unit price should be increased USD$0.50 for every 100 kcal up to 6000 kcal.
(2) 當(dāng)高位發(fā)熱量(收到基，ADB)低于5400大卡，每低于100大卡單價扣減1.20美元/噸。

Article 1 Before the Guarantor issues the letter of guarantee, the Client shall upon request of the Guarantor:

□1.1.2 Have any corporation, or other organization or natural person recognized by the Guarantor issue the Guarantor with an irrevocable letter of counter guarantee in favor of the Guarantor; and/or
□1.1.3以保證人接受的抵押物或質(zhì)物抵(質(zhì))押給保證人，以作為償付擔(dān)保。雙方另訂抵（質(zhì)）押合同。（做刪除標(biāo)記）
本合同為《授信協(xié)議》項下具體合同的，本條款不適用，本合同項下債務(wù)自動納入與保證人簽署了最高額抵/質(zhì)押合同或向保證人出具了最高額不可撤銷擔(dān)保書的擔(dān)保人的擔(dān)保范圍。If the Contract is a particular contract under the Credit Extension Agreement, this Article will be inapplicable, and the obligations under the Contract will be automatically included into the scope of undertaking by the undertaker signing a maximum mortgage/pledge contract with the guarantor or issuing the guarantor with a maximum irrevocable letter of undertaking.

1.2.3 The name list and the specimen signature of all the current directors of the Client;

1.2.6委托人的上年度財務(wù)報表及審計報告書，以及申請前一個月的財務(wù)數(shù)據(jù)；
1.2.6 The Client’s financial statements and auditor’s report for the last year, and financial data for the month before the application;

1.2.8 Other materials as requested by the Guarantor.
上述手續(xù)或材料以保證人實際要求的為準(zhǔn)，并且為保證人應(yīng)享有的.權(quán)利而非義務(wù)，有關(guān)手續(xù)或材料是否完全齊備對本協(xié)議效力不構(gòu)成影響。
The provision of the above formalities or materials shall be based upon the actual request of the Guarantor, which is a right entitled to but not a duty assumed by the Guarantor, and their completeness and fullness will not affect the legal force of the Agreement.

Article 2 The Client hereby makes a declaration, commitment and warrant to the Guarantor as follows:
2.1委托人為依照中華人民共和國法律正式成立及有效存在的商事主體，有充分的民事行為能力簽訂和履行本協(xié)議；
2.1 The Client is a commercial subject legally incorporated and validly in existence under the laws of the P. R. of China, and has full civil capacity to sign and perform the Agreement;
2.2委托人有合法的資格簽署及履行本協(xié)議，簽訂和履行本合同已獲得董事會或任何其他有權(quán)機(jī)構(gòu)的充分授權(quán)；
2.2 The Client is eligible to sign and perform the Agreement, and has obtained the full authorization of the Board of Directors or any other competent authorities to sign and perform the Contract;
2.3 委托人或被擔(dān)保人有合法資格與受益人簽署合同，有足夠的能力履行與受益人簽署的合同；委托人保證委托人或被擔(dān)保人履行與受益人簽署的合同，并有義務(wù)及時向保證人通報履約情況及出現(xiàn)的問題；
2.3 The Client or the Guaranteed is eligible to sign the Contract with the Beneficiary, and has full capacity to perform the Contract signed with the Beneficiary; and the Client undertakes that the Client or the Guaranteed shall perform the Contract signed with the Beneficiary, and has duty to inform the Guarantor about the performance of contract and any issue arisen in due course;
2.4 委托人接受和認(rèn)可保證人向受益人開立的保函的內(nèi)容；
2.4 The Client accepts and acknowledges the contents of the letter of guarantee issued by the Guarantor to the Beneficiary;
2.5 委托人保證不使保證人因為開具保函而蒙受任何損害和損失；

2.8 The Client undertakes that the project under the letter of guarantee conforms to the provisions
of the laws and regulations of the state, and any economic and legal liability arisen from the project itself shall be only borne by the Client, but have no relationship with the Guarantor;
2.9委托人同意按本協(xié)議規(guī)定，按期足額支付上述保函項下的依照保證人要求應(yīng)付的各項費用；
2.9 The Client agrees to duly pay in full any expenses payable under the above letter of guarantee upon request of the Guarantor according to the provisions of the Agreement;

3 押金 Deposit:
3.1乙方須支付相當(dāng)于兩個月房租的押金（即RMB ）, 以人民幣支票或轉(zhuǎn)帳形式支付）。甲方應(yīng)在收到押金后向乙方開具統(tǒng)一收據(jù)。
A deposit of two (2) months’ equivalent rental (RMB ) shall be paid by PARTY B in RMB by check or by bank transfer. PARTY A shall issue to PARTY B official receipt upon receiving the deposit.
3.2押金在合同終止后10天內(nèi)由甲方以相同幣種全額退還給乙方（不計利息）。如果延期返還，則每延期一日，按每日萬分之四支付給乙方利息。

4 租期 Lease term:

5 出租人的責(zé)任 PARTY A’s obligation:
5.1 3甲方聲明及保證甲方為該出租房屋的合法擁有人，有合法地位出租此房屋，并就出租事宜已取得有關(guān)方面的批準(zhǔn)。
PARTY A assures to be the legal owner of the leased premises, to have the necessary legal capacity to lease it, and PARTY A’ action has been ratified by the authorities concerned.
5.2租賃期內(nèi)，若甲方出售該出租房屋導(dǎo)致該出租房屋所有權(quán)發(fā)生轉(zhuǎn)移,甲方須保證本合同能繼續(xù)執(zhí)行。
In case PARTY A sells the premises during the lease which leads to the premises ownership be transferred, PARTY A shall ensure that the said contract will be implemented continuously.
5.3甲方須按時將清潔狀況良好的出租房屋交付乙方使用，保證在租賃期內(nèi)出租房屋內(nèi)的.各項設(shè)施能正常使用。 PARTY A shall hand over the said premises to PARTY B on time and assure the said premises will be cleaned and in good status during the lease term.
5.4甲方有義務(wù)負(fù)責(zé)出租房屋及設(shè)施的正常維護(hù)和保養(yǎng)，如房屋或設(shè)施非因甲方原因出現(xiàn)故障，甲方應(yīng)在收到乙方通知后二十四(24)小時內(nèi)自行或通過其他方式解決故障，否則，乙方有權(quán)雇傭第三方進(jìn)行維修，由甲方承擔(dān)所有費用并承擔(dān)相關(guān)責(zé)任。由于不可抗力（如地震、臺風(fēng)、洪水、非人為的火災(zāi)等）、自然損耗或乙方以外的原因造成的損壞，亦由甲方承擔(dān)有關(guān)費用。
PARTY A shall bear the responsibility of the said premises’ normal repairs and maintenance, and pay the cost related. In case the premises or facilities are in bad conditions not due to the reason of PARTY B, PARTY A shall complete the repair work within 24 hours upon receipt of the notice from PARTY B. Otherwise, PARTY B shall have the right to hire any third parties for the repair work at the cost of PARTY A. The cost of repairs to the said premises, if damaged by Force Majeure (such as earthquake, typhoon, flood non-man made fire, etc) reasonable wear and tear or by accidents beyond PARTY B’S control, should also be borne by PARTY A.
5.5租賃期內(nèi)，在乙方遵守合同及支付租金的前提下，未經(jīng)乙方允許，甲方不得進(jìn)入該出租房屋。
During the lease, PARTY A shall not get in the said premises without PARTY B’S permission if PARTY B has been carrying out the contract normally.
5.6甲方應(yīng)督促管理公司向乙方提供足夠的服務(wù)，如冷水、熱水、煤氣,電的供應(yīng)及各種設(shè)備的正常工作。 Party A shall direct Property Management Company to provide sufficient and continuous services to Party B, including provision of cold water, hot water, gas and electricity and ensure proper maintenance of equipment therein.
5.7 房產(chǎn)稅及與租賃有關(guān)的所有稅費由甲方承擔(dān)。
Premises tax and other leasing related taxes shall be paid by PARTY A.
6 承租方的責(zé)任 PARTY B’S obligations:
6.1 乙方申明及保證其在中國擁有合法居留權(quán)，并按有關(guān)規(guī)定辦理必要的居住登記手續(xù)。
PARTY B assures to have the legal right of residence in China, and shall complete the residential formalities complying with the local regulations.
6.2 住客應(yīng)按時支付電話費含上網(wǎng)費、水電煤氣費。
The occupant shall pay the telephone bills and internet fee, extra water electricity gas fee on time.
6.3 乙方只能將出租房屋用做住宅，不得將之用作公司及代表處的注冊地址，亦不可作為公開的辦公室。 The premises are limited for residential use only by PARTY B, and are prohibited from registering as legal address for any company or agency, or using as public office.
6.4 乙方不得在出租房屋內(nèi)進(jìn)行違反法律及政府對出租房屋用途有關(guān)規(guī)定的行為。
PARTY B shall not carry in the premises any unlawful or illegal activities which are not allowed according to the leasing regulations from the government.
6.5 租賃期內(nèi)，未經(jīng)甲方書面同意，乙方不得將出租房屋部分或全部轉(zhuǎn)租他人。
PARTY B shall not partly or totally sublet the said premises without the written permission from PARTY A.
6.6 若因乙方使用不當(dāng)或不合理使用，出租房屋及其內(nèi)的設(shè)施出現(xiàn)損壞或發(fā)生故障，乙方應(yīng)及時聯(lián)絡(luò)管理機(jī)構(gòu)或甲方進(jìn)行維修，并負(fù)責(zé)有關(guān)維修費用.
The damage of the premises or the fittings that are within the control of PARTY B shall be borne by PARTY B, and PARTY B shall contact the management office or PARTY A instantly.
6.7 租賃期內(nèi)，乙方對出租房屋進(jìn)行裝修或增加水、電、消防等設(shè)施，須經(jīng)甲方同意并經(jīng)有關(guān)部門批準(zhǔn)，并由甲方執(zhí)行監(jiān)理，所需費用由乙方承擔(dān)。雙方解約時，乙方不能移走自行添加的結(jié)構(gòu)性設(shè)施，甲方亦不必對上述添加設(shè)施進(jìn)行補(bǔ)償。
PARTY B, upon written permission of PARTY A, may make additions or alterations dealing with water,
electricity supply or fire protection, at his own expense, subject to necessary permits or licenses required by the authorities concerned and under the supervision of PARTY A .No structural alterations or additions can be removed from the premises upon the expiration of this contract. No reimbursement for the said additions.
6.8 乙方有權(quán)在墻壁上懸掛畫、圖片或其他裝飾性物品。合同履行期限屆滿或提前解約時，甲方應(yīng)承擔(dān)費用拔掉釘子、粉刷墻壁或使墻壁恢復(fù)原狀，并承諾不以此為由扣留乙方的押金。
PARTY B is entitled to hang pictures, paintings or other decorative articles on the walls. Upon expiration or early termination of the contract, PARTY A shall bear the cost to remove the nails, repaint the wall or restore the wall to the original state, and PARTY A shall not retain PARTY B’S deposit for the reason of doing things above.
6.9租賃合同期滿的前一個月內(nèi)，經(jīng)合理事先書面通知，乙方應(yīng)允許甲方或其授權(quán)人 引領(lǐng)潛在客人參觀在出租房屋。
During the last month of the contract, after reasonable prior written notice to PARTY B, PARTY A or his nominee shall be allowed to show the said premises to the potential clients.
6.10 租賃期滿，若甲，乙雙方未達(dá)成續(xù)租協(xié)議，乙方應(yīng)于租期屆滿時或之前遷離出租房屋并將鑰匙及清理干凈的房屋歸還甲方.
PARTY B shall return the premises in a clean condition to PARTY A (except wear and tear) at the expiration of the contract if there is no renewal thereupon.
7 提前解約Early termination:
7.1六(6)個月后，乙方如要退租，應(yīng)提前一(1)個月書面通知甲方終止本租約。在此情況下，甲方應(yīng)在本租約終止后十(10)日內(nèi)將押金全額退還乙方。
After six (6) months, Party B may, upon one (1) month advance written notice to Party A, terminate this
Tenancy Agreement without any liabilities. Under this circumstance, Party A shall return the deposit in full to Party B within ten (10) days after the termination.
7.2 若因自然界的不可抗力，如火災(zāi)、洪水、臺風(fēng)、地震、戰(zhàn)爭等意外損害導(dǎo)致出租房屋無法居住，合同即自動終止，甲、乙雙方互不承擔(dān)責(zé)任。
If the said premises are so damaged by force majeure (fire, flood, typhoon, earthquake, war, and etc) that it’s no longer habitable, the contract shall be terminated automatically. Neither PARTY A nor PARTY B shall bear any responsibility to each other.
8 續(xù)租 Renewal:
租賃期滿，乙方有優(yōu)先續(xù)租權(quán)，但須提前一個月通知甲方，并安排簽訂續(xù)租合同。
PARTY B retains the priority to renew this lease upon expiration , while one-month prior notice to PARTY A is necessary, and PARTY A shall arrange the signature for the renewal contract.
9 爭議的解決 Dispute Resolution:
9．1 本合同適用法律為中華人民共和國相關(guān)法律。
The contract is governed by the laws of the People’s Republic of China.
9．2在履行本合同過程中產(chǎn)生的任何爭議由雙方協(xié)商解決，協(xié)商不成，可向中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(北京)申請仲裁。
In case of any dispute arising out of the performance of this Contract, PARTY A and PARTY B shall consult
together to reach unanimity, otherwise both parties can submit the dispute to the China International Economic and Trade Arbitration Commission (Beijing) for arbitration.
10 其他Others:
10.1本合同以中英文兩種文字?jǐn)M成，兩種文本同等有效。
The contract is drawn in both Chinese and English versions. Both texts have equal effect.
10.2 本合同一式二份，甲、乙雙方各執(zhí)一份。
Two copies of the contract will be drawn and remained in the possession of PARTY A & PARTY B. 10.3本合同自簽定之日起生效。
The contract shall come into force on the date of signature.
10.4本合同的附件是本合同必不可少的組成部分。附件一列明的物品在甲、乙雙方核實簽字后生效。

十、 其它條約(Other Terms):
1、 乙方須按上述規(guī)定交付保證金于甲方，于租約終止或期滿時，甲、乙雙方不再續(xù)約，乙
方在付清全部租金及公用事業(yè)費后，保證金（不計利息）得憑原收據(jù)領(lǐng)回。
The said deposit (no interest will be counted) shall be repayable forthwith from Party A to
Party B at the expiration or determination of the tenancy without any renewal, subject to
Party B had completed full payment of the entire contract period and paid all Public Utility
Fees or any other fees related.
2、 甲方按每日1%交付滯納金。如乙方超過15天不支付租金，則視為乙方違約，甲方有權(quán)
取消租賃合同并且沒收全部按金。

Party B. if party B pay rent delay more than 15 days , party A should be have right to cancel
the contract and deduct all deposit from party B.
3、 該物業(yè)內(nèi)之一切原來設(shè)備及間隔，乙方必須得到甲方書面同意，方可更改或增減。
Party B shall not make or permit to be made any alterations in or additions to the said
premises without having first obtained the written consent of Party A.
4、 乙方不得在該物業(yè)之內(nèi)任何地內(nèi)存放違反危險品條例之物品，例如軍械、火藥、璜硝、
汽油, 有爆炸危險性的物品及揮發(fā)性之化工原料等等, 另乙方不得在該物業(yè)內(nèi)做任何
違反中國法律行為。否則，一切后果，由乙方負(fù)責(zé)。
Party B shall not store arms, ammunition or unlawful goods, gun-powder, saltpeter, kerosene
or any explosive or combustible substance, etc. in any part of the said premises, the tenant or inmate shall not use the said premises for any illegal purposes, for violation against the law of People’s Republic of China in any part of the said property, Party B shall be answerable and responsible for any consequence of any breach of local ordinance.
5、 乙方須正確維護(hù)該物業(yè)內(nèi)甲方所提供之家具、電器、裝置及設(shè)備、該物業(yè)之原來一切設(shè)
備如有因非正當(dāng)使用造成的損壞，乙方須負(fù)責(zé)修理或賠償。
To keep the interior of the said premises and furniture, fixtures and fittings provided by Party A in condition of normal use throughout the tenancy, if any damages made by any abnormal use, Party B is responsible for the repair or reimbursement.
6、 乙方不得拒絕甲方派譴之人員，在適當(dāng)時間入屋檢視該單位近況或進(jìn)行任何修理工程。
Party B shall permit Party A and its agents with or without workmen or others and with or without appliances at all reasonable times to enter upon the said premises and to view the condition thereof and to take inventories of the fixtures therein and to carry out any repairs to the premises which Party A considers necessary or proper to be done.
7、 當(dāng)租約期滿或終止前X個月，甲方有權(quán)在不騷擾原則下, 張貼招租告示于該單位外,
乙方亦應(yīng)準(zhǔn)許甲方/代理人在合理時間內(nèi)，帶同新租客進(jìn)入該物業(yè)視察。
During the X month immediately preceding the determination of the said term of tenancy, Party A shall be at liberty to affix and retain without interference or molestation on the door or the external parts of the said premises a notice for letting the said premises and the Party
B shall permit and allow all persons with written or oral authority from party A or its agent or agents at all reasonable hours of the day to view the said premises or any part or part thereof.
8、 租約期滿，乙方如需延長租約，須在租約期滿 X 個月前以書面方式通知甲方，經(jīng)甲
方同意，乙方可以新訂租金和租約繼續(xù)入住該物業(yè)。
X month written notice before the expiration is required for any tenancy renewal; new tenancy agreement will be generated under the consent of both parties.
9、 乙方須自行投買風(fēng)災(zāi), 水災(zāi), 火災(zāi), 盜竊, 意外保障等等, 乙方如在該單位內(nèi)有任何損失,
甲方不負(fù)任何責(zé)任。
Party B shall himself cover insurance for his own belongings against Typhoon, Depression, Storm, Flood, Fire, Theft, Accidents, etc. in relation to this Tenancy. Party A shall not be responsible for any damage or loss under all circumstances.
10、 乙方不得于單位內(nèi)制造或容許制造噪音, 異味或任何滋擾鄰居或業(yè)主安寧之舉動, 其中
包括拖欠租金。經(jīng)警告后仍未有所改善, 甲方有權(quán)終止租約。
Party B shall not permit any noise or allow any music to be produced in the premises so as to give cause for reasonable complaint from the occupants of neighboring premises, otherwise, Party A has the right to terminate the tenancy immediately if case continued after advised. 11、
12、 甲方須承擔(dān)該物業(yè)的房產(chǎn)稅、土地使用稅。 Party A shall pay all property tax, land tax and any other tax or charge of the said premises. 租約期內(nèi)，甲方有權(quán)將該物業(yè)出售給第三者，本合約對購得該物業(yè)之新業(yè)主仍然有效，
所有適用于甲、乙雙方的條款，同樣無條件適用于新業(yè)主和乙方。
During term of tenancy, Party A shall have the right to sell the said premises to the third party. The terms and conditions here in contained which applicable to Party A and Party B must be applicable to the new landlord and Party B without negotiation.
13、 本合約之附件，包括：家具裝置設(shè)備清單、房屋所有權(quán)證副本，租賃協(xié)議書，均為本合
約不可分割的成部分。
The attachments, including Furniture Fixture, Appliances List Title Certificate., Property Certificate and Offer letter forms an integrate part of the agreement.
14、 本租約適用中華人民共和國法律、自甲、乙雙方簽章后，雙方均應(yīng)遵守本租約規(guī)定的各
項條款，如發(fā)生爭議，雙方不能完滿解決，將依照中華人民共和國有關(guān)法律仲裁解決。 The agreement is construed in accordance with laws of People’s Republic of China (PRC). Both parties shall perform and observe the stipulation here in contained upon signing. Any disputed shall be referred to arbitration in accordance with the arbitration of PRC. The applicable law shall be PRC law.
15、 本租約各有中、英文版本。英文版本為中文版本之譯本，如英文版本與中文版本在翻譯
上有所不同，以中文版本為準(zhǔn)。 This agreement is given in Chinese and English languages. The English Language is an abridged translation of the Chinese text but in event of any difference between the Chinese text and the English translation, the Chinese text shall prevail.
