第一條合同標(biāo)的和價(jià)格________外貿(mào)公司在____國(guó)界車(chē)上交貨條件下按本合同附件1向________公司提供商品。商品以美元計(jì)價(jià)，系____國(guó)界車(chē)上交貨價(jià)，包括包皮、包裝和標(biāo)記的費(fèi)用。根據(jù)附件1由________國(guó)向____國(guó)供貨的總值為_(kāi)_______美元。________公司相應(yīng)地在____國(guó)界車(chē)上交貨條件下按本合同附件2________向外貿(mào)公司提供商品。商品以美元計(jì)價(jià)，系____國(guó)界車(chē)上交貨價(jià)，包括包皮、包裝和標(biāo)記的費(fèi)用。根據(jù)附件2由____國(guó)向____國(guó)供貨的總值為_(kāi)_______美元。
第二條供貨期售方應(yīng)在本合同附件規(guī)定的期限內(nèi)交貨。售方有權(quán)按雙方商定的數(shù)量和金額提前供貨。購(gòu)方有義務(wù)按合同規(guī)定接收貨物。
第三條結(jié)算本合同所供貨物之價(jià)款，在易貨基礎(chǔ)上以美元計(jì)價(jià)，不通過(guò)銀行記帳。貨物交接后，由售方商務(wù)代表到購(gòu)方結(jié)算，或?qū)⒔Y(jié)算憑證寄給購(gòu)方進(jìn)行結(jié)算，并憑下列單據(jù)辦理：
1.發(fā)貨帳單2份;
2.蓋有發(fā)貨站戳記的鐵路運(yùn)單副本1份;
3.明細(xì)單2份;
4.品質(zhì)證明書(shū)1份。購(gòu)方接到上述單據(jù)核對(duì)無(wú)誤后給售方出以等值易貨貿(mào)易結(jié)算憑證予以確認(rèn)。
第四條包裝賣(mài)方應(yīng)在包裝貨物時(shí)采取所有預(yù)防措施以保證貨物在儲(chǔ)存、海運(yùn)、陸運(yùn)、吊裝時(shí)完好無(wú)損。
第五條商品的品質(zhì)和保證所供商品的品質(zhì)應(yīng)由品質(zhì)證明書(shū)加以確認(rèn)，該證書(shū)確認(rèn)商品品質(zhì)符合生產(chǎn)國(guó)的技術(shù)條件和國(guó)家標(biāo)準(zhǔn)。所供商品的品質(zhì)性能應(yīng)與標(biāo)準(zhǔn)樣品相一致，標(biāo)準(zhǔn)樣品在簽定合同時(shí)交給，在保證期內(nèi)留存并在對(duì)供貨品質(zhì)發(fā)生爭(zhēng)議的情況下供雙方使用。保證期為供貨后9個(gè)月。
第六條索賠購(gòu)方可按________________(兩國(guó)貿(mào)易文件或協(xié)定)所規(guī)定的期限和程序在下列方面提出索賠。
1.貨物的數(shù)量如貨物數(shù)量與明細(xì)單注明的數(shù)量不符，在包裝完整和沒(méi)有外部損傷(內(nèi)部短缺)的情況下，購(gòu)方有權(quán)憑檢驗(yàn)證書(shū)提出索賠。如果貨物的發(fā)運(yùn)系按發(fā)貨人確定的重量發(fā)出，而國(guó)境交接站雙方鐵路交接中發(fā)現(xiàn)不足，并不屬鐵路方面的過(guò)失，可根據(jù)雙方鐵路方面編制的商務(wù)記錄提出索賠。
2.貨物的質(zhì)量如貨物品質(zhì)與合同規(guī)定不符時(shí)，可根據(jù)商品檢證或無(wú)利害關(guān)系的權(quán)威機(jī)關(guān)的代表參與制成的記錄提出異議。如售方所供貨物的品質(zhì)，不符合合同規(guī)定的技術(shù)條件或與雙方確認(rèn)的樣品不符時(shí)，購(gòu)方有權(quán)要求售方或者削價(jià)、或者更換貨物。如果售方自收到異議之日起60天內(nèi)不作最后決定，或不同意檢驗(yàn)證書(shū)中確定的削價(jià)百分比時(shí)，則購(gòu)方有權(quán)將品質(zhì)不合格的貨物按售方提供的地址退給售方。售方應(yīng)在本合同規(guī)定的異議審理期限內(nèi)將退貨地址通知購(gòu)方。如果在每批貨物中發(fā)現(xiàn)殘次品占20%以上，收貨人則將退回全部貨物。由于質(zhì)量原因退回貨物時(shí)所產(chǎn)生的全部費(fèi)用由售方承擔(dān)。在這種情況下，售方?jīng)]有免除向購(gòu)方補(bǔ)發(fā)數(shù)量相同并符合合同規(guī)定的貨物責(zé)任。在終點(diǎn)站檢驗(yàn)貨物的數(shù)量和或質(zhì)量所需要的一切費(fèi)用由購(gòu)方承擔(dān)。
第七條不可抗力條款由于發(fā)生不可抗力情況，而直接影響本合同的'履行時(shí)，售方對(duì)本合同受不可抗力影響的部分義務(wù)或全部義務(wù)無(wú)法履行的責(zé)任不予承擔(dān)。經(jīng)雙方協(xié)商，履行本合同義務(wù)的期限也可相應(yīng)推遲。發(fā)生不可抗力情況一方應(yīng)自災(zāi)情結(jié)束之日起____日內(nèi)將有關(guān)發(fā)生不可抗力的性質(zhì)、毀壞程度及影響合同履行的情況書(shū)面通知對(duì)方。如對(duì)方有異議，發(fā)生不可抗力情況一方憑其所在國(guó)有權(quán)機(jī)關(guān)的認(rèn)證書(shū)豁免責(zé)任。

第五條包裝和標(biāo)記商品包裝應(yīng)符合規(guī)定的標(biāo)準(zhǔn)和技術(shù)條件，保證貨物在運(yùn)輸中完好無(wú)損。每件貨物上應(yīng)有以下標(biāo)記：________到達(dá)站名稱(chēng);________賣(mài)方名稱(chēng);________XX名稱(chēng);________貨件號(hào);________毛重;________凈重：體積(用立方米表示)。
第六條支付應(yīng)在本合同簽訂后20個(gè)工作日內(nèi)開(kāi)立以賣(mài)方為受益人、不可撤銷(xiāo)的、可分割的、可轉(zhuǎn)讓的跟單信用證。該信用證的總金額在合同

第七條商品的交接所有商品應(yīng)由檢查人員進(jìn)行必要的數(shù)量和品質(zhì)檢查。檢查人員的結(jié)論是最終結(jié)論，買(mǎi)賣(mài)雙方不得對(duì)此有爭(zhēng)議。余下部分可以拒收和退還，應(yīng)單獨(dú)保管其拒收的商品，并對(duì)此承擔(dān)責(zé)任，便于賣(mài)方、供貨人和檢查人員進(jìn)行可能的檢查。如果確定拒收成立，對(duì)商品的責(zé)任自動(dòng)轉(zhuǎn)移給賣(mài)方，由賣(mài)方自行決定商品的處理，商品的保管費(fèi)由供貨人支付。
第八條保險(xiǎn)根據(jù)上文
第二條由________對(duì)商品在運(yùn)抵________港之前進(jìn)行保險(xiǎn)。
第九條品質(zhì)保證商品品質(zhì)應(yīng)符合清單1。沒(méi)有義務(wù)接收不符合清單1的商品。可以不加解釋和不出示證據(jù)退還未被接收的商品(見(jiàn)下文

第十條，賣(mài)方應(yīng)在收到理由充分的索賠時(shí)起30天內(nèi)如數(shù)更換未被接收的商品，以保證完全按照本合同規(guī)定運(yùn)送貨物。
第十條索賠商品運(yùn)到時(shí)，有權(quán)就商品的數(shù)量向賣(mài)方提出索賠(見(jiàn)
第七條)，反之，接收共同指定的檢查員確定的數(shù)量的商品。可以就商品品質(zhì)不合格向賣(mài)方提出索賠。所有運(yùn)抵的商品如果沒(méi)有以適當(dāng)?shù)姆绞骄苁栈蛲嘶兀急徽J(rèn)為已經(jīng)接收。有充分理由退還的拒收商品都被認(rèn)為賣(mài)方供貨不足，同時(shí)免除對(duì)就拒收商品的支付或賠償提出任何異議。檢查員最終確定有充分理由拒收和退回商品的數(shù)量。在商品原封不動(dòng)或無(wú)損壞退還賣(mài)方的情況下，未超出檢查員確定的界限的商品的拒收，無(wú)需經(jīng)商品不合格證明，在規(guī)定的期限內(nèi)，根據(jù)必需的手續(xù)，應(yīng)由賣(mài)方無(wú)條件承認(rèn)。索賠函用掛號(hào)信寄給賣(mài)方。就某一批商品提出索賠，不能成為雙方拒收和拒付根據(jù)本合同所規(guī)定的其他供應(yīng)商品的理由。
第十一條不可抗力出現(xiàn)不可抗力，即火災(zāi)、自然災(zāi)害、封鎖、禁止進(jìn)出口和其他合同雙方人力不可抗拒的情況造成合同某一方不能完全或部分履行合同義務(wù)時(shí)，按不可抗力與其后果存在的時(shí)間推遲履行合同義務(wù)。如果上述情況與其后果持續(xù)達(dá)三個(gè)月以上，任何一方都有權(quán)拒絕履行本合同項(xiàng)下的義務(wù)。在此情況下，任何一方都無(wú)權(quán)要求補(bǔ)償可能的損失。由不可抗力造成不能履行合同義務(wù)的一方應(yīng)盡快將妨礙履行義務(wù)的不可抗力的出現(xiàn)和終止情況通知另一方。由賣(mài)方或國(guó)有關(guān)商會(huì)出具的證明是上述不可抗力情況出現(xiàn)的必需證明。
第十二條罰則如違反本合同規(guī)定的貨物抵達(dá)期限，賣(mài)方應(yīng)向支付罰金。罰金數(shù)額規(guī)定如下：
1.在最初三周內(nèi)每過(guò)期一個(gè)日歷周支付未交商品總金額的1%;
2.以后每過(guò)期一個(gè)日歷周支付未交商品總金額的2%，但罰金總額不能超過(guò)未交商品總金額的15%。
第十三條其他條件任何一方在沒(méi)有征得另一方書(shū)面同意的情況下不得將自己對(duì)本合同的權(quán)利和義務(wù)轉(zhuǎn)讓給
第三者。對(duì)合同的一切修改和補(bǔ)充意見(jiàn)只有以書(shū)面形式形成并經(jīng)雙方簽字后才有效。在國(guó)境內(nèi)的一切費(fèi)用和規(guī)費(fèi)，包括海關(guān)規(guī)費(fèi)和關(guān)稅，與訂立、履行本合同有關(guān)的費(fèi)用，由承擔(dān)，在國(guó)境外，則由賣(mài)方承擔(dān)。本合同用________兩種文字書(shū)就，兩種文本具有同等法律效力。

第四條、設(shè)備質(zhì)量

第五條、合同價(jià)格和支付條件

第六條、保證

第七條、不可抗力
1、在發(fā)生不可抗力情況致使合同一方不能全部或部分履行本合同的義務(wù)時(shí)，按此種不可抗力情況存在的時(shí)間推遲履行合同義務(wù)。
2、不可抗力情況是指雙方不能預(yù)見(jiàn)或預(yù)測(cè)的`由于非常事件而出現(xiàn)的情況，即：影響履行所承擔(dān)義務(wù)的火災(zāi)、風(fēng)暴、地震和其它自然現(xiàn)象，以及戰(zhàn)爭(zhēng)、任何性質(zhì)的軍事行動(dòng)，各國(guó)政府的封鎖與制裁等。
3、因不可抗力情況而不能履行義務(wù)的一方，應(yīng)在不可抗力情況發(fā)生和停止的２０天內(nèi)書(shū)面通知另一方關(guān)于其發(fā)生和停止的情況。收信人所在國(guó)郵局在收到通知函日加蓋的日期作為得悉該信息的日期。
4、協(xié)約雙方國(guó)商會(huì)出具的證明書(shū)將成為證明上述情況發(fā)生及延續(xù)時(shí)間的必要證據(jù)。
5、如有些情況延續(xù)３個(gè)多月，每一方都有權(quán)拒絕繼續(xù)履行本合同義務(wù)，同時(shí)任何一方都無(wú)權(quán)要求對(duì)方賠償可能發(fā)生的損失。
第八條、仲裁
1、所有可能由本合同而產(chǎn)生的糾紛或分歧均應(yīng)由合同雙方友好解決。
2、如果無(wú)法解決糾紛，則該糾紛應(yīng)提交______仲裁委員會(huì)按其業(yè)務(wù)規(guī)章審理（提交一般法院審理者除外），該委員會(huì)的決定對(duì)于雙方為終審，必須執(zhí)行。
第九條、通知

如經(jīng)中國(guó)＿＿＿＿＿＿檢驗(yàn)機(jī)構(gòu)復(fù)檢，發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書(shū)之規(guī)定不符，買(mǎi)方可于貨到目的港后＿＿＿＿＿天內(nèi)憑上述檢驗(yàn)機(jī)構(gòu)出具的證明書(shū)向賣(mài)方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不一致，在質(zhì)量保證期限內(nèi)買(mǎi)方仍可向賣(mài)方就質(zhì)量保證條款之內(nèi)容向賣(mài)方提出索賠。

１８．延期交貨違約金：
late delivery and peralty
除雙方認(rèn)可的不可抗力因素外，賣(mài)方遲于合同規(guī)定的期限交貨，如買(mǎi)方同意遲延交貨，賣(mài)方應(yīng)同意對(duì)信用證有關(guān)條款進(jìn)行修改和同意銀行在議付貨款時(shí)扣除本條規(guī)定的違約金。違約金總值不超過(guò)貨物總價(jià)值的５％，差率按７天０．５％計(jì)算，不滿(mǎn)７天仍按７天計(jì)算。在未采用信用證支付的情況下，賣(mài)方應(yīng)將前述方法計(jì)算的違約金即付買(mǎi)方。
if the sellers fail to make delivery on time asstipulated in the contract, with exception of force majeure, the buyers shall agree to postpone the delivery onconditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation. the penalty, however, shall not exceed 5％ of the total value of the goods. the rate of penalty is charged
at 0.5％ forevery seven days, if less than seven days. in case, the payment is not made through l/c, the sellers shall pay the penalty counted as above to the buyers as soon as possible.
１９．不可抗力：如發(fā)生不可抗力情況，賣(mài)方應(yīng)及時(shí)以電報(bào)／傳真／電傳通知
買(mǎi)方，并在十四天內(nèi)郵寄事故發(fā)生地政府或商會(huì)出具的證明事故的文件。
force majeure: the sellers shall advise the buyers by cable/fax/tlx
in case of force majeure, and furnish the later within 14 days by registered airmail with a certificate issued by local government/ chamber of commerce attesting such event or events.
２０．爭(zhēng)議之解決方式：
disputes settlement:
任何因本合同而發(fā)生或與本合同有關(guān)的爭(zhēng)議，應(yīng)提交中國(guó)國(guó)際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)，按該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國(guó)。仲裁裁決是終局的，對(duì)雙方均有約束力。

if the sellers fail to make delivery on time as stipulated in the contract,with exception of force majeure,the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation,the penalty,however,shall not exceed 5% of the total value of the goods.the rate of penalty is charged at 0.5% for every seven days,if less than seven days.in case,the payment is not made through l/c,the sellers shall pay the penalty counted as above to the buyers as soon as possible.

1. 異議：品質(zhì)異議須于貨到目的口岸之日起30天內(nèi)提出，數(shù)量異議須于貨到目的口岸之日起15天內(nèi)提出，但均須提供經(jīng)賣(mài)方同意的公證行的檢驗(yàn)證明。如責(zé)任屬于賣(mài)方者，賣(mài)方于收到異議20天內(nèi)答復(fù)買(mǎi)方并提出處理意見(jiàn)。
Discrepancy: In case of quality discrepancy, claim should be lodged by the Buyers within 30 days after the arrival of the goods at the port of destination, while for quantity discrepancy, claim should be lodged by the Buyers within 15 days after the arrival of the goods at the port of destination. In all cases, claims must be accompanied by Survey Reports of Recognized Public Surveyors agreed to by the Sellers. Should the responsibility of the subject under claim be found to rest on the part of the Sellers, the Sellers shall, within 20 days after receipt of the claim, send their reply to the Buyers together with suggestion for settlement.

The covering Letter of Credit shall stipulate the Sellers’s option of shipping the indicated percentage more or less than the quantity hereby contracted and be negotiated for the amount covering the value of quantity actually shipped. (The Buyers are requested to establish the L/C in amount with the indicated percentage over the total value of the order as per this Sales Contract.)
3. 信用證內(nèi)容須嚴(yán)格符合本售貨合約的規(guī)定，否則修改信用證的費(fèi)用由買(mǎi)方負(fù)擔(dān)，賣(mài)方并不負(fù)因修改信用證而延誤裝運(yùn)的責(zé)任，并保留因此而發(fā)生的一切損失的`索賠權(quán)。
The contents of the covering Letter of Credit shall be in strict conformity with the stipulations of the Sales Contract. In case of any variation there of necessitating amendment of the L/C, the Buyers shall bear the expenses for effecting the amendment. The Sellers shall not be held responsible for possible delay of shipment resulting from awaiting the amendment of the L/C and reserve the right to claim from the Buyers for the losses resulting therefrom.

Except in cases where the insurance is covered by the Buyers as arranged, insurance is to be covered by the Sellers with a Chinese insurance company. If insurance for additional amount and /or for other insurance terms is required by the Buyers, prior notice to this effect must reach the Sellers before shipment and is subject to the Sellers’agreement, and the extra insurance premium shall be for the Buyers’ account.
5. 因人力不可抗拒事故使賣(mài)方不能在本售貨合約規(guī)定期限內(nèi)交貨或不能交貨，賣(mài)方不負(fù)責(zé)任，但是賣(mài)方必須立即以電報(bào)通知買(mǎi)方。如果買(mǎi)方提出要求，賣(mài)方應(yīng)以掛號(hào)函向買(mǎi)方提供由中國(guó)國(guó)際貿(mào)易促進(jìn)委員會(huì)或有關(guān)機(jī)構(gòu)出具的證明，證明事故的存在。買(mǎi)方不能領(lǐng)到進(jìn)口許可證，不能被認(rèn)為系屬人力不可抗拒范圍。
The Sellers shall not be held responsible if they fail, owing to Force Majeure cause or causes, to make delivery within the time stipulated in this Sales Contract or cannot deliver the goods. However, the Sellers shall inform immediately the Buyers by cable. The Sellers shall deliver to the Buyers by registered letter, if it is requested by the Buyers, a certificate issued by the China Council for the Promotion of International Trade or by any competent authorities, attesting the existence of the said cause or causes. The Buyers’ failure to obtain the relative Import Licence is not to be treated as Force Majeure.

(11)Terms of Shipment:
(a)The seller must notify the buyer name of the booking vessel and itstransportation routes 40 days before sail, for the buyer to confirm. (b)The seller must notify the buyer expected time of delivery, contract number, invoice amount, the number and the shipment weight and size of each piece 20 days before shipment.
(C) The seller must notify the buyer of goods, quantity, gross weight, invoice amount, name of the vessel, and departure dates by telegraph/telex within 48 hours after shipment.
(d) If any piece of cargo to meet or exceed the weight of 10 tons, 15meters long , 10 meters wide, the seller shall 50 days before shipment provide the buyer with five copies of detailed packing drawing, indicating detailed size and weight, so that the buyer can arrange inland transport.
(e)Transhipment and Partial shipment are both not allowed.
(12) Inspection:
(a)The seller must test the quality of goods, specification and quantity fully and accurately, and issue a quality certificate to prove that the delivery is in accordance with the relevant provisions of the contract , but this certificate is not the fianl basis toprove quality of the goods, specifications, performance, and number .The seller should attach the written report contained inspection details and results of tests to the quality manual.
(b)After the goods arrive at the port of destination, the buyer must apply to the U.S. Commodity Inspection Bureau for inspecting the quality of goods, specification and quantity , and issue a certificate of inspection. If you find that the quality, specification and quantity
do not match with the contract, in addition to which insurance companies or ship shall be responsible for, the buyer has the right to refuse accepting the goods and claim to the seller,within 7 days after arrival at the port of destination .
(c) If the inspection certificate can not be settled within the validity period of the contract for some unforeseen reasons, the buyer should telephone the seller to extend the inspection period for 3 days.
(13)Claims:
(a) Within 3 days from the date of the arrival of the goods at the final destination,if the quality,specification,quantity and packing of the goods are found not in conformity with the stipulations of this contract,the Buyer shall give a notice of claims to the Seller within the above mentioned time limit and have the right to lodge claims . (b)Considering the result from the defect of the goods ,the Buyer has the right to bring the claims for their damages against the Seller. The Seller shall undertake to make the compensation for claims,except those for which the insurrance company should undertake the obligations.

甲方因生產(chǎn)工作需要，錄用乙方為甲方勞動(dòng)合同制員工。
甲乙雙方根據(jù)《中華人民共和國(guó)勞動(dòng)法》、《上海市勞動(dòng)合同規(guī)定》及《上海市勞動(dòng)合同條例》，本著平等、自愿、協(xié)商一致的原則，依法簽訂本勞動(dòng)合同。
第一條協(xié)議期限

2．甲方根據(jù)乙方現(xiàn)任職務(wù)和工作崗位，確定試用期工資為_(kāi)______元/月，正式聘用期本崗位工資為_(kāi)_____元/月（人民幣）。
3．甲方應(yīng)當(dāng)以貨幣形式按月向乙方支付工資報(bào)酬。
第四條勞動(dòng)紀(jì)律
乙方應(yīng)嚴(yán)格遵守國(guó)家有關(guān)部門(mén)規(guī)定和甲方的各項(xiàng)規(guī)章制度，成績(jī)突出者嘉獎(jiǎng)晉級(jí)，違紀(jì)者按有關(guān)規(guī)定處罰。
第五條勞動(dòng)保險(xiǎn)、福利待遇
1．對(duì)具有本市勞動(dòng)手冊(cè)和符合上海市規(guī)定的員工，甲方按上海市規(guī)定的基本標(biāo)準(zhǔn)為其繳納三金（養(yǎng)老金、醫(yī)療保險(xiǎn)金及失業(yè)金）。對(duì)原先無(wú)工作單位的外省籍員工購(gòu)買(mǎi)社會(huì)綜合保險(xiǎn)，同時(shí)辦理員工團(tuán)體意外人身保險(xiǎn)，不另報(bào)銷(xiāo)醫(yī)療費(fèi)用。
2．法定假日為有薪假期。
第六條協(xié)議的變更、終止、解除、續(xù)訂
1．有下列情形之一的，甲、乙雙方可以變更本協(xié)議：
（1）甲方因機(jī)構(gòu)變化，原崗位撤消，無(wú)適合崗位安排，甲方應(yīng)提前30天通知終止合同；
（2）本合同訂立后，所依據(jù)的法律、法規(guī)、規(guī)章及政策已修改。
（3）因不可抗力致使本協(xié)議無(wú)法履行。
（4）法律、法規(guī)規(guī)定的其他情況。
2．合同期滿(mǎn)，雙方辦理終止合同手續(xù)（違約責(zé)任詳見(jiàn)本合同第七條規(guī)定）。甲方因工作需要，在征得乙方同意的前提下，雙方可以續(xù)訂合同。
3．乙方有下列情形之一，甲方可以解除合同或予以除名：
（1）被證明不符合錄用條件或試用期間不合格者。
（2）嚴(yán)重違勞動(dòng)紀(jì)律或甲方規(guī)章制度，經(jīng)教育屢不悔改者。
（3）嚴(yán)重失職、營(yíng)私舞弊，對(duì)甲方利益造成重?fù)p害者。
（4）已被依法追究刑事責(zé)任者。
4．合同期內(nèi)有下列情形之一的，甲方可以解除合同，但應(yīng)提前三十天以書(shū)面形式通知乙方。
（1）乙方因疾病，合同期內(nèi)，不能從事原工作，也不能從事由甲方另行安排的工作。
（2）合同訂立時(shí)，所依據(jù)的客觀情況發(fā)生重變化，原合同無(wú)法履行，經(jīng)雙方協(xié)商無(wú)法解決的。
5．乙方主動(dòng)解除合同，應(yīng)提前三十天以書(shū)面形式通知甲方，但在合同期內(nèi)，甲方為乙方支付的各種專(zhuān)項(xiàng)培訓(xùn)費(fèi)用，乙方應(yīng)當(dāng)歸還甲方，乙方賠償甲方違約金____元。
6．有下列情形之一的，乙方可以隨時(shí)通知甲方解除本合同：
（1）甲方以、威脅或者非法限制人身自由的手段強(qiáng)迫工作。
（2）甲方如未能按照合同約定支竿動(dòng)報(bào)酬。
第七條違約責(zé)任
1．任何單方違本協(xié)議規(guī)定，給對(duì)方造成經(jīng)濟(jì)損失或其他損失的，應(yīng)當(dāng)根據(jù)其后果小和責(zé)任小，支付違約金和賠償金。
2．經(jīng)甲方同意辭聘但未按規(guī)定按時(shí)交清公務(wù)與債權(quán)、債務(wù)手續(xù)的`，甲方有權(quán)扣押畢業(yè)證（職稱(chēng)證書(shū)）和扣發(fā)當(dāng)月工資，乙方應(yīng)承擔(dān)相應(yīng)的經(jīng)濟(jì)損失。
3．甲方出資培訓(xùn)的員工在合同期或規(guī)定的服務(wù)期內(nèi)離（辭）職的，按規(guī)定向甲方支付培訓(xùn)費(fèi)。
4．甲方資助乙方買(mǎi)房款的員工在規(guī)定的合同期或服務(wù)期內(nèi)離（辭）職的，乙方須歸還所有款項(xiàng)。
5．工作需要向甲方領(lǐng)取的服裝、工具及其他貴重物品在合同期滿(mǎn)或離（辭）職時(shí)須交還甲方，在使用年限內(nèi)的應(yīng)按甲方規(guī)定承擔(dān)相應(yīng)的折舊費(fèi)。
6．因乙方的工作性質(zhì)，雙方約定在合同期滿(mǎn)或離（辭）職后的年內(nèi)，不得以任何形式從事同行業(yè)或同專(zhuān)業(yè)的工作，否則應(yīng)向甲方賠償相應(yīng)的損失。
7．對(duì)于公司技術(shù)和非技術(shù)信息，資金、財(cái)務(wù)和經(jīng)營(yíng)數(shù)據(jù)；商業(yè)計(jì)劃、市場(chǎng)分析、未公布住處和市場(chǎng)預(yù)測(cè)、知識(shí)產(chǎn)權(quán)、商業(yè)秘密和專(zhuān)有技術(shù)；公司人事和客戶(hù)資源、政府接觸等；技術(shù)信息設(shè)計(jì)方案、技術(shù)訣竅、技術(shù)數(shù)據(jù)和工藝流程等保密信息乙方有義務(wù)保守，因任何原因泄漏，公司就情節(jié)輕重給予教育、警告、降級(jí)、降薪直至除名的處罰。造成經(jīng)濟(jì)損失或其它嚴(yán)重后果的，甲方保留追究乙方法律責(zé)任和要求賠償經(jīng)濟(jì)損失的權(quán)力。
第八條未盡事宜
本協(xié)議未盡事宜，按現(xiàn)行國(guó)家和本市的法律、法規(guī)政策執(zhí)行。
第九條協(xié)議生效
本協(xié)議自簽訂之日起生效，具有法律效力，本協(xié)議一式兩份，雙方各執(zhí)一份，涂改、未經(jīng)本人授權(quán)代簽的無(wú)效。

6、為便于乙方拓展市場(chǎng)，甲方須向乙方提供相應(yīng)的操作平臺(tái)。乙方在職期間所開(kāi)發(fā)的一切客戶(hù)為甲方所有，乙方不得私下訂單，一經(jīng)發(fā)現(xiàn)，將追究法律責(zé)任。
7、乙方為業(yè)務(wù)級(jí)人員，如無(wú)業(yè)績(jī)或達(dá)不到公司所規(guī)定的業(yè)績(jī)，甲方有權(quán)按規(guī)定解除雙方的勞動(dòng)關(guān)系。(三個(gè)月內(nèi)RMB800萬(wàn)元，六個(gè)月內(nèi)RMB1500萬(wàn)元)
8、乙方需保密公司所有資料，包括離職后，不得向同行業(yè)報(bào)出公司客戶(hù)資源及產(chǎn)品價(jià)目表(離職人員不得享有任何公司資源，如MSN,郵箱，B2B)，對(duì)公司造成損害的應(yīng)付相應(yīng)法律責(zé)任。
9、甲方提供相關(guān)辦公設(shè)施及相關(guān)資料及乙方職責(zé)
1)提供符合招投標(biāo)的技術(shù)要求和高質(zhì)量的產(chǎn)品;
2)向乙方提供產(chǎn)品投標(biāo)所需的所有資料;
轉(zhuǎn)正后乙方如離職須提前一個(gè)月提出離職申請(qǐng)，并按規(guī)定做好離職交接手續(xù)方準(zhǔn)予離職，否則不予發(fā)放薪金及提成。曠工三天視為自動(dòng)離職處理，不予發(fā)放當(dāng)月工資,由此對(duì)公司造成損害的予以賠償，公司并保留進(jìn)行法律追訴的權(quán)利。
本協(xié)議有效期為一年，期滿(mǎn)后可續(xù)簽。以上就是外貿(mào)經(jīng)理聘用合同。

1.甲乙雙方經(jīng)充分協(xié)商，本著自愿及平等互利的原則，訂立本合同。異議或者自收到貨物之日起___日內(nèi)未通知乙方的，視為貨物合乎規(guī)定。

經(jīng)甲乙雙方友好協(xié)商，本著平等互利，共同發(fā)展的原則，就共同合作經(jīng)營(yíng)出口業(yè)務(wù)達(dá)成以下協(xié)議：

二、基本約定未經(jīng)乙方許可甲方不得在任何場(chǎng)合使用乙方的名義簽訂合同，如因此產(chǎn)生爭(zhēng)議由甲方負(fù)責(zé)。出口業(yè)務(wù)因甲方原因引起的收匯風(fēng)險(xiǎn)均由甲方自行承擔(dān)，甲方或甲方供應(yīng)工廠不得以任何理由向乙方索取未收匯部分的貨款。
三、操作方式甲方需向乙方如實(shí)提供出口貨物明細(xì)單，發(fā)票，裝箱單、增值稅專(zhuān)用發(fā)票和購(gòu)銷(xiāo)合同在貨物報(bào)關(guān)出口后70天內(nèi)交給乙方。甲方必須按照?qǐng)?bào)關(guān)單上的商品品名和數(shù)量等要求完整地開(kāi)具增值稅專(zhuān)用發(fā)票，并在開(kāi)票日期30天內(nèi)交給乙方認(rèn)證，提供發(fā)票同時(shí)必須附上工廠的正本購(gòu)銷(xiāo)合同。
四、費(fèi)用結(jié)算甲方同意承擔(dān)委托乙方出口貨物的所有費(fèi)用，如海運(yùn)費(fèi)、保險(xiǎn)費(fèi)、倉(cāng)儲(chǔ)費(fèi)、包干費(fèi)、簽證費(fèi)、快件費(fèi)和銀行費(fèi)用等。該費(fèi)用如系乙方墊付，可在乙方付給甲方貨款時(shí)予以扣除。甲方通過(guò)乙方支付貨款給工廠，須在乙方收匯后根據(jù)工廠開(kāi)具的增值稅發(fā)票按到款日人民幣匯率的基礎(chǔ)上，按雙方約定的結(jié)算價(jià)和甲方的付款要求在3個(gè)工作日內(nèi)將貨款支付給工廠。出口收匯后，乙方可以根據(jù)甲方要求預(yù)付工廠貨款。雙方確認(rèn)按代理費(fèi)用結(jié)算：甲方委托乙方代理出口，第一年乙方按1美金收取_____元人民幣,1歐元收取_____元人民幣向甲方收取代理費(fèi)用。
五、退稅如因甲方增值稅發(fā)票來(lái)源不明，購(gòu)銷(xiāo)合同不能在上述規(guī)定的時(shí)間內(nèi)及時(shí)交給乙方并在國(guó)稅部門(mén)顯示申報(bào)信息等原因，而影響乙方核銷(xiāo)退稅的.，甲方將承擔(dān)由此而引起的一切責(zé)任和損失。若政府退稅資金緊張使退稅政策兌現(xiàn)滯后，乙方可重新對(duì)上述結(jié)匯比進(jìn)行調(diào)整或雙方協(xié)商延遲付款事宜。若今后國(guó)家出口退稅率或政策有變化，按多退少補(bǔ)的原則由甲方承擔(dān)。
六、責(zé)任與義務(wù)甲方不得出口違反中華人民共和國(guó)法律或國(guó)際法規(guī)的貨物，甲方應(yīng)對(duì)出口貨物所涉及的知識(shí)產(chǎn)權(quán)的合法性負(fù)全部責(zé)任，若由上述事項(xiàng)所引起的各種糾紛及一切后果均由甲方負(fù)責(zé)。乙方必須遵守商業(yè)道德，對(duì)甲方提供的貨物工廠及客戶(hù)資料嚴(yán)格保密。
七、其他若甲方有一定額度的盈利保留在乙方帳戶(hù)，需要結(jié)利潤(rùn)時(shí)甲方必須開(kāi)具運(yùn)費(fèi)發(fā)票按銀行實(shí)際匯率向乙方結(jié)算，或根據(jù)需要由甲方出具服務(wù)發(fā)票后乙方支付。所有合作過(guò)程中的爭(zhēng)議，雙方應(yīng)盡量友好協(xié)商解決，如協(xié)商不成應(yīng)提請(qǐng)乙方所在地有關(guān)部門(mén)或執(zhí)法機(jī)構(gòu)解決。本協(xié)議一式兩份，甲乙雙方各執(zhí)一份，經(jīng)雙方簽字蓋章后生效。

一、 甲方責(zé)任

4．負(fù)責(zé)向銀行辦理交單議付手續(xù)和收結(jié)匯。甲方在收到結(jié)匯水單、出口核銷(xiāo)單、報(bào)關(guān)單及乙方提供的增值稅發(fā)票（經(jīng)國(guó)稅局認(rèn)定為真實(shí)有效的增值稅發(fā)票）后三個(gè)工作日內(nèi)，按結(jié)算比率（詳見(jiàn)結(jié)算表）將款項(xiàng)（扣除銀行和甲方代墊費(fèi)用）付至乙方工廠；如匯率變化，按新匯率執(zhí)行。若外匯貨款到帳發(fā)生在每月的1—10日期間，則貨款先按1美元：____元人民幣付給乙方，余款延至每月10日后付給乙方。
5．負(fù)責(zé)辦理外匯核銷(xiāo)手續(xù)。
二、乙方責(zé)任
1．負(fù)責(zé)辦理本協(xié)議每一票外銷(xiāo)合同項(xiàng)下的貨物訂倉(cāng)、排載、裝運(yùn)、報(bào)關(guān)、報(bào)檢、保險(xiǎn)及編制有關(guān)單據(jù)等手續(xù)，甲方積極協(xié)助乙方辦理上述手續(xù)。
2．乙方對(duì)貨物的質(zhì)量、數(shù)量、包裝、交貨期負(fù)責(zé)，因貨物質(zhì)量、數(shù)量、包裝、交貨期以及不可抗力等原因造成的損失由乙方承擔(dān)。
3．負(fù)責(zé)聯(lián)系境外客戶(hù)，通知境外客戶(hù)將外匯貨款支付到甲方指定的銀行帳戶(hù)，或開(kāi)立以甲方為受益人的即期不可撤消信用證。所有因外商索賠，外商違約或者其他原因造成本協(xié)議外銷(xiāo)合同未能履行、延遲履行、部分履行或履行不符合約定條件，使甲方未能按時(shí)收匯核銷(xiāo)或無(wú)法收匯核銷(xiāo)，乙方承擔(dān)由此產(chǎn)生的一切經(jīng)濟(jì)損失和法律責(zé)任。
4．乙方異地自理報(bào)關(guān)的，應(yīng)接受甲方監(jiān)督管理，并提前5天將出貨計(jì)劃和需要領(lǐng)取的單證傳真給甲方。所領(lǐng)取的單證應(yīng)在30天內(nèi)歸還甲方，乙方應(yīng)保證合法、安全地使用甲方提供的單證，如發(fā)生單證丟失、使用不當(dāng)和延誤等情況，所引起的.一切后果和經(jīng)濟(jì)損失由乙方承擔(dān)
5．乙方應(yīng)遵守國(guó)家法律、法規(guī)和各項(xiàng)規(guī)定，乙方對(duì)甲方在授權(quán)范圍內(nèi)依本協(xié)議所做的
一切行為承擔(dān)法律責(zé)任。若乙方在執(zhí)行本協(xié)議過(guò)程中因假冒商標(biāo)、假冒產(chǎn)地或商標(biāo)侵權(quán)等違法違紀(jì)導(dǎo)致甲方經(jīng)濟(jì)和聲譽(yù)損失，乙方負(fù)全部責(zé)任。
6．乙方必須在報(bào)關(guān)出口后60天內(nèi)提供與本協(xié)議項(xiàng)下每批貨物的出口報(bào)關(guān)單相符的，由供貨工廠開(kāi)具的增值稅發(fā)票，承擔(dān)增值稅發(fā)票不合法、不準(zhǔn)確、不正確而導(dǎo)致甲方無(wú)法退稅或造成騙稅行為的經(jīng)濟(jì)損失和法律責(zé)任。如乙方提供的增值稅發(fā)票、關(guān)單、核銷(xiāo)單系偽造或有其他與稅務(wù)局等國(guó)家管理機(jī)關(guān)要求不符之處，甲方有權(quán)拒付相當(dāng)于應(yīng)退稅款的余款。
7、乙方應(yīng)督促境外客戶(hù)按時(shí)付匯，保證甲方能在報(bào)關(guān)出口后3個(gè)月內(nèi)收回外匯。若無(wú)法按時(shí)收匯核銷(xiāo)而導(dǎo)致無(wú)法退稅的，乙方應(yīng)承擔(dān)由此產(chǎn)生的一切經(jīng)濟(jì)損失和法律責(zé)任。
8．若由于乙方原因?qū)е聼o(wú)法退稅的，乙方仍需安排外匯到帳，且必須開(kāi)具普通商業(yè)發(fā)票給甲方，同時(shí)甲方向乙方收取出口報(bào)關(guān)金額1%的手續(xù)費(fèi)；若乙方無(wú)法安排外匯到帳或無(wú)法開(kāi)具普通商業(yè)發(fā)票給甲方，由此產(chǎn)生的一切經(jīng)濟(jì)損失和法律責(zé)任均由乙方承擔(dān)。
三、貨款結(jié)算：
1．甲方應(yīng)付乙方貨款以?xún)羰諈R按以下結(jié)算比價(jià)表計(jì)算：
出口退稅率____結(jié)算及開(kāi)票比價(jià)（美元:人民幣）____%
2．乙方應(yīng)按開(kāi)票比價(jià)足額開(kāi)具增值稅發(fā)票，開(kāi)票不足的應(yīng)退稅款由乙方承擔(dān)。
3．甲方付給工廠的貨款應(yīng)通過(guò)銀行匯付，收款人必須與開(kāi)票單位相一致。
四、信用證審證條款：甲方收到信用證后翻譯并傳真給乙方，由乙方?jīng)Q定是否接受，經(jīng)書(shū)面確認(rèn)后傳真給甲方。
五、如遇國(guó)家匯率有較大幅度變動(dòng)或國(guó)家調(diào)整退稅率，甲乙雙方另行商定補(bǔ)充協(xié)議，其補(bǔ)充協(xié)議與本協(xié)議具有同等法律效力。
六、簽約期限從____年____月____日至____年____月____日。
七、本協(xié)議未盡事宜，由甲乙雙方友好協(xié)商解決。若發(fā)生糾紛，依據(jù)《中華人民共和國(guó)合同法》的有關(guān)規(guī)定在合同簽約地管轄法院訴訟解決。

受聘方： 簡(jiǎn)稱(chēng)(乙方)
根據(jù)《經(jīng)濟(jì)法》、《合同法》及相關(guān)法律法規(guī)，本著協(xié)商、平等、互惠互利的原則，雙方商定，乙方作為甲方公司的全職外貿(mào)業(yè)務(wù)員。雙方共同遵守如下條款：
一、聘用內(nèi)容：甲方聘請(qǐng)乙方擔(dān)任甲方公司外貿(mào)業(yè)務(wù)員。
二、聘用合同期限：
(一)、本合同期限自 年 月 日起至 年 月 日止，聘用期為 3 年期限合同。(試用期為 3 個(gè)月)試用期從 年 月 日起至 年 月 日止。
(二)、聘用合同期滿(mǎn)前一個(gè)月，甲乙雙方均未有終止本合同書(shū)面通知時(shí)，即視為延長(zhǎng)本合同有效期一年，無(wú)須辦理續(xù)約手續(xù)，以后期滿(mǎn)類(lèi)推，除另有補(bǔ)充合同外。如甲乙雙方其中任何一方不再續(xù)約時(shí)，則須于期滿(mǎn)前一個(gè)月以書(shū)面形式通知對(duì)方終止。
三、 雙方責(zé)任及義務(wù)：
(一)甲方責(zé)任與義務(wù)
1、按乙方業(yè)務(wù)開(kāi)拓需要，提供宣傳資料和相關(guān)證件。
2、每周閱覽乙方的工作日記，對(duì)相應(yīng)的業(yè)務(wù)關(guān)系或進(jìn)程進(jìn)行指導(dǎo)，協(xié)助乙方完成業(yè)務(wù)目標(biāo)。
3、負(fù)責(zé)乙方所接業(yè)務(wù)的設(shè)計(jì)工作。
4、負(fù)責(zé)所有外貿(mào)訂單生產(chǎn)、包裝、檢驗(yàn)、報(bào)關(guān)、售后工作。
5、努力控制、降低產(chǎn)品成本，確保其產(chǎn)品價(jià)格適合市場(chǎng)一般需求行情，在競(jìng)爭(zhēng)、投標(biāo)中其產(chǎn)品價(jià)格應(yīng)是同行中的較有競(jìng)爭(zhēng)力價(jià)格。
(二)乙方責(zé)任與義務(wù)
1、努力開(kāi)展業(yè)務(wù)，開(kāi)拓市場(chǎng)，完成任務(wù)目標(biāo)。
2、做好工作日記，記錄每天的行程與拜訪的客戶(hù)資料，作好次日的行程或工作安排。
3、遵守公司各項(xiàng)規(guī)章制度，維護(hù)甲方企業(yè)、品牌形象及商標(biāo)權(quán)，不得做出有損公司形象或利益的行為。
4、嚴(yán)格保密甲方設(shè)計(jì)方案及生產(chǎn)技術(shù)，在業(yè)務(wù)過(guò)程中，對(duì)操作項(xiàng)目有保密責(zé)任，不得向任何人泄露商業(yè)資料，嚴(yán)格執(zhí)行國(guó)家商業(yè)機(jī)密相關(guān)條款，違約者每次將賠償人民幣( )元違約金。
5、按訂單規(guī)定準(zhǔn)時(shí)收回貨款。
6、公司提供的設(shè)計(jì)方案或技術(shù)資料征得甲方同意后，方可留給客戶(hù)或借給客戶(hù)
7、招待客戶(hù)費(fèi)用，應(yīng)向公司提出申請(qǐng)，未經(jīng)公司批準(zhǔn)的招待費(fèi)用，由業(yè)務(wù)員自理。
8、全程負(fù)責(zé)與客戶(hù)訂單的業(yè)務(wù)跟單工作，按訂單規(guī)定保質(zhì)、保量、準(zhǔn)時(shí)完成與客戶(hù)的收發(fā)貨工作。
9、鞏固老客戶(hù)，開(kāi)發(fā)新客戶(hù)，代表個(gè)人更代表公司，對(duì)客戶(hù)有禮貌，善待客戶(hù)的意見(jiàn)與投訴，并及時(shí)向公司傳遞信息，建立良好的客戶(hù)群體與客戶(hù)關(guān)系。
10、與甲方正式簽署本合同后，在本合同合約期限內(nèi)，乙方不得和任何與甲方構(gòu)成直接商業(yè)競(jìng)爭(zhēng)關(guān)系的企業(yè)、商業(yè)機(jī)構(gòu)或者組織進(jìn)行相同或者類(lèi)似本合同內(nèi)容的合作，不得有炒單其它公司的行為，一經(jīng)發(fā)現(xiàn)，甲方有權(quán)隨時(shí)取消其合同并有權(quán)要求乙方賠償損失人民幣( )萬(wàn)元。
四、 合作形式
(一)乙方作為甲方的外貿(mào)業(yè)務(wù)員，按甲方制定的'市場(chǎng)運(yùn)行模式及要求，在國(guó)際市場(chǎng)承接企事業(yè)單位、政府機(jī)構(gòu)、社會(huì)團(tuán)體的接單簽單業(yè)務(wù)。
(二)甲方支付給乙方的工資與提成如下：
1、乙方底薪為人民幣4000/月
2、乙方的銷(xiāo)售提成為貨款7‰
(三)為便于乙方拓展市場(chǎng)，甲方向乙方提供相應(yīng)的銷(xiāo)售平臺(tái)(如阿里巴巴、國(guó)內(nèi)國(guó)際展會(huì)、ECVV等)。但乙方若在合同期限之內(nèi)，提出辭職(非不可抵抗因素或客觀因素)。則須承擔(dān)相相應(yīng)的違約責(zé)任，對(duì)于在公司工作期間接受的培訓(xùn)，參加展會(huì)，學(xué)習(xí)深造等產(chǎn)生的費(fèi)用須予以承擔(dān)。
五、 工作時(shí)間、工資、提成發(fā)放日期：
1. 執(zhí)行標(biāo)準(zhǔn)工時(shí)制，每天工作8小時(shí)，每周至少休息一天。因?yàn)楹蛧?guó)外存在時(shí)差的問(wèn)題，晚上需要加班2個(gè)小時(shí)左右。工資發(fā)放日期為每月15日支付上個(gè)月的基本工資;
2、提成發(fā)放日期為收到貨款年底支付
六、合作合同的終止
1、乙方違反本協(xié)議相關(guān)條款，并在收到甲方書(shū)面通知后，7天內(nèi)未能糾正過(guò)失。
2、乙方自身的錯(cuò)誤不同程度損害了甲方有關(guān)聲譽(yù)，或在承接業(yè)務(wù)過(guò)程中，直接或間接損害了甲方商標(biāo)的合法性和專(zhuān)有性。
3、依法終止合同后，甲方一次性支付乙方保密賠償金人民幣( )元。乙方不得以甲方的名譽(yù)開(kāi)展任何活動(dòng)，否則甲方有權(quán)追究乙方相關(guān)責(zé)任，乙方每次將賠償人民幣五萬(wàn)元違約金。
六、合同的未盡事宜，以及針對(duì)本合同內(nèi)容的完善，雙方可作“補(bǔ)充協(xié)議”，“補(bǔ)充協(xié)議”與本合同具有同等的法律效力，如果“補(bǔ)充協(xié)議”與本合同、多份“補(bǔ)充協(xié)議”之間有矛盾之處，以時(shí)間靠后的為優(yōu)先解釋順序;
七、本合同一式叁份，雙方各執(zhí)一份，存檔一份，經(jīng)簽字蓋章后生效，叁份合同具有同等法律效力
八、補(bǔ)充協(xié)議
本人承諾對(duì)以上內(nèi)容確認(rèn)無(wú)誤，并嚴(yán)格遵守合同及協(xié)議之條款。如有違約愿意承擔(dān)相應(yīng)的法律責(zé)任及違約責(zé)任。
